Please read these terms carefully before using WP EliteHub's services. By engaging with our services, you agree to be bound by these terms.

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and WP EliteHub, operated by Jaspreet Singh ("WP EliteHub," "we," "us," or "our"), located at 329 Howe St Unit #967, Vancouver, BC V6C 3N2, Canada.

By accessing our website (wpelitehub.com), scheduling a consultation, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Important: These Terms apply to all services provided by WP EliteHub, including book publishing, ghostwriting, editing, design, web development, SEO, and digital marketing services.

2. Services Provided

WP EliteHub offers a range of professional services to help individuals and businesses establish authority and grow their presence:

2.1 Book Publishing Services

  • Professional ghostwriting and manuscript development
  • Developmental editing, copy editing, and proofreading
  • Custom book cover design and interior formatting
  • ISBN registration and copyright assistance
  • Amazon KDP publishing and distribution setup
  • Book marketing strategy and launch support

2.2 Web Development Services

  • Custom website design and development
  • WordPress website creation and customization
  • E-commerce solutions
  • Website maintenance and updates
  • Responsive design for all devices

2.3 SEO Services

  • Search engine optimization strategy
  • Keyword research and content optimization
  • Technical SEO audits and implementation
  • Local SEO and Google My Business optimization
  • Link building and authority development

2.4 Digital Marketing Services

  • Marketing strategy development
  • Social media marketing
  • Email marketing campaigns
  • Paid advertising management (Google Ads, Facebook Ads)
  • Content marketing and brand positioning

Specific services, deliverables, timelines, and pricing will be outlined in individual service agreements or proposals.

3. Client Responsibilities

To ensure successful project completion, clients agree to:

3.1 Information and Materials

  • Provide accurate, complete, and timely information required for services
  • Supply necessary materials, content, images, and access credentials
  • Respond to requests for feedback and approvals within agreed timeframes
  • Participate in scheduled meetings and consultations

3.2 Communication

  • Maintain regular communication throughout the project
  • Designate a primary point of contact for project coordination
  • Provide feedback in a clear, constructive manner
  • Notify us promptly of any concerns or changes in requirements

3.3 Approvals

  • Review and approve deliverables within specified timeframes
  • Understand that delays in approvals may extend project timelines
  • Provide final approval before publication or launch

3.4 Compliance

  • Ensure all content provided is original or properly licensed
  • Comply with applicable laws and regulations
  • Not use our services for illegal or unethical purposes

4. Intellectual Property Rights

4.1 Client Ownership

Upon full payment of all fees, you retain 100% ownership of:

  • Your book content, including manuscripts, ideas, and concepts
  • Website content you provide or we create on your behalf
  • Your brand identity, logos, and trademarks
  • Final deliverables created specifically for your project

4.2 WP EliteHub Ownership

WP EliteHub retains ownership of:

  • Our proprietary processes, methodologies, and templates
  • Pre-existing tools, software, and resources
  • Our brand identity and marketing materials
  • General knowledge and expertise developed through our work

4.3 Third-Party Materials

Some projects may incorporate third-party materials such as stock photos, fonts, or plugins. Licensing for these materials will be clearly communicated, and you are responsible for complying with their terms of use.

4.4 Portfolio Rights

Unless otherwise agreed in writing, WP EliteHub reserves the right to:

  • Display completed work in our portfolio
  • Use project details as case studies (with your approval)
  • Reference you as a client in marketing materials

If you prefer confidentiality, please notify us in writing, and we will honor your request.

5. Payment Terms

5.1 Pricing and Quotes

Service pricing is provided in individual proposals or service agreements. All prices are in USD unless otherwise specified. Quotes are valid for 30 days from the date of issue.

5.2 Payment Structure

Payment terms vary by service and project scope:

  • Publishing Projects: Typically 50% upfront, 25% at manuscript completion, 25% at publication
  • Web Development: Typically 50% upfront, 50% upon completion
  • SEO/Marketing: Monthly retainer or project-based payments as agreed
  • Custom Arrangements: Payment plans can be negotiated for larger projects

5.3 Payment Methods

We accept payment via:

  • Credit/debit cards
  • Bank transfers
  • PayPal
  • Other methods as mutually agreed

5.4 Late Payments

Payments are due within 7 days of invoice date unless otherwise specified. Late payments may result in:

  • Project work being paused until payment is received
  • Late fees of 1.5% per month on overdue balances
  • Termination of services for accounts more than 30 days overdue

5.5 Additional Costs

Unless included in your package, the following may incur additional charges:

  • Revisions beyond the agreed scope
  • Rush services or expedited timelines
  • Third-party services (stock photos, premium plugins, advertising spend)
  • Significant changes to project scope

All additional costs will be communicated and approved before being incurred.

6. Refund and Cancellation Policy

6.1 Cancellation by Client

You may cancel services at any time by providing written notice. Refunds will be calculated as follows:

  • Before Work Begins: Full refund minus 10% administrative fee
  • Work in Progress: Refund of unused portion based on work completed
  • After Deliverables Provided: No refund for completed work

6.2 Cancellation by WP EliteHub

We reserve the right to cancel services if:

  • Client fails to provide necessary materials or information
  • Client fails to make required payments
  • Client requests illegal or unethical work
  • Working relationship becomes untenable

In such cases, you will receive a refund for work not yet performed.

6.3 Satisfaction Guarantee

We are committed to your satisfaction. If you are not satisfied with our work, we will:

  • Work with you to address concerns and make revisions
  • Provide reasonable revisions within the agreed scope
  • Find a mutually acceptable solution

Refund requests must be made in writing with specific reasons for dissatisfaction.

7. Project Timelines and Delays

7.1 Estimated Timelines

Project timelines are estimates based on typical project requirements and assume timely client cooperation. Actual timelines may vary based on:

  • Project complexity and scope
  • Client responsiveness and approval times
  • Availability of required materials
  • Unforeseen technical challenges

7.2 Client-Caused Delays

Delays caused by client actions (late materials, delayed approvals, scope changes) may extend project timelines without penalty to WP EliteHub.

7.3 Force Majeure

WP EliteHub is not liable for delays caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or technical failures of third-party services.

8. Revisions and Scope Changes

8.1 Included Revisions

Each service package includes a specified number of revision rounds:

  • Book Editing: Typically 2-3 rounds of revisions
  • Cover Design: Typically 2-3 design concepts with revisions
  • Website Design: Typically 2-3 rounds of revisions per page
  • Content Creation: Typically 1-2 rounds of revisions

8.2 Additional Revisions

Revisions beyond the agreed scope may incur additional fees. We will provide a quote before proceeding with extra revision work.

8.3 Scope Changes

Significant changes to project scope (additional pages, new features, expanded services) will require:

  • Written agreement on new scope
  • Revised timeline estimate
  • Additional payment for expanded work

9. Warranties and Disclaimers

9.1 Our Warranties

WP EliteHub warrants that:

  • Services will be performed with professional skill and care
  • Work will be original or properly licensed
  • We will comply with applicable laws and industry standards
  • Deliverables will substantially conform to agreed specifications

9.2 Disclaimers

WP EliteHub does NOT guarantee:

  • Book Sales: We cannot guarantee specific sales numbers, bestseller status, or commercial success
  • SEO Rankings: We cannot guarantee specific search engine rankings or traffic levels
  • Marketing Results: We cannot guarantee specific ROI, conversion rates, or business outcomes
  • Third-Party Services: We are not responsible for failures of Amazon, Google, social media platforms, or other third-party services

9.3 No Warranty for Client-Provided Content

We are not responsible for the accuracy, legality, or quality of content you provide. You warrant that all materials you provide:

  • Are original or properly licensed
  • Do not infringe on third-party rights
  • Comply with applicable laws
  • Are accurate and truthful

10. Limitation of Liability

10.1 Maximum Liability

To the fullest extent permitted by law, WP EliteHub's total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

10.2 Excluded Damages

WP EliteHub shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Loss of data or information
  • Reputational harm
  • Third-party claims

10.3 Time Limit for Claims

Any claims must be brought within one (1) year of the date the cause of action arose.

11. Confidentiality

11.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information
  • Project details and strategies
  • Financial information
  • Personal information

11.2 Non-Disclosure Agreements

For sensitive projects, we can provide additional Non-Disclosure Agreements (NDAs) upon request.

11.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available
  • Was known prior to disclosure
  • Is independently developed
  • Must be disclosed by law

12. Indemnification

You agree to indemnify, defend, and hold harmless WP EliteHub, its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Content or materials you provide
  • Your use of our deliverables
  • Claims that your content infringes on third-party intellectual property

13. Termination

13.1 Termination by Either Party

Either party may terminate services by providing 14 days written notice. Upon termination:

  • Client pays for all work completed to date
  • WP EliteHub delivers all completed work
  • Unused payments are refunded (minus work completed)
  • Both parties return confidential materials

13.2 Immediate Termination

WP EliteHub may terminate immediately if:

  • Client fails to pay invoices
  • Client breaches these Terms
  • Client engages in abusive or threatening behavior
  • Continuing the relationship is not feasible

13.3 Effect of Termination

Upon termination, all payment obligations for work performed remain in effect, and confidentiality obligations survive indefinitely.

14. Dispute Resolution

14.1 Good Faith Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation.

14.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing legal action.

14.3 Governing Law

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles.

14.4 Jurisdiction

Any legal action must be brought in the courts of British Columbia, Canada. Both parties consent to the exclusive jurisdiction of these courts.

15. General Provisions

15.1 Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between you and WP EliteHub.

15.2 Amendments

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use of services after changes constitutes acceptance.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

15.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

15.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

15.6 Independent Contractors

WP EliteHub and Client are independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

15.7 Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
